Single Contracting Entity Rule
All client contracts, statements of work, and invoices are issued by LegelpTech Outsourcing Private Limited unless otherwise agreed in writing.
This applies regardless of which brand the engagement originates under (currently Zedtreeo for remote staffing). The operating entity, the ISO/IEC 27001:2022 ISMS, and the contracting counterpart are the same across all brand engagements — providing a clear, verifiable trust layer for procurement and legal teams.

For clients that require a US-based contracting counterpart, engagements may be issued through Legelp Services LLC (Cheyenne, Wyoming) under a written addendum, subject to the same ISMS and contractual standards maintained by LegelpTech Outsourcing Pvt Ltd.
MSA Framework
Master Services Agreement structure
Master Services Agreement (MSA)
Umbrella contract governing all engagements between LegelpTech and the client. Covers definitions, services, fees, term, termination, confidentiality, IP, indemnification, limitation of liability, and governing law.
Statement of Work (SOW)
Per-engagement attachment to the MSA. Defines scope, deliverables, timelines, fees, milestones, acceptance criteria, and dedicated team composition. Multiple SOWs may attach to a single MSA.
Non-Disclosure Agreement (NDA)
Mutual NDA executed prior to discussing client-specific information. Internal NDAs and IP-assignment agreements are signed by every LegelpTech team member with project access.
Data Processing Agreement (DPA)
GDPR Article 28 aligned DPA for engagements involving processing of personal data. Defines data categories, processing purposes, security measures, sub-processors, and breach notification.
Intellectual Property
IP transfer clauses
All work product, source code, documentation, and deliverables created during a client engagement are assigned to the client upon payment under the terms of the MSA. This includes:
- •Work product: All deliverables created specifically for the client under an SOW.
- •Source code: All source code developed by LegelpTech personnel on the engagement, assigned exclusively to the client.
- •Internal mirror: Every LegelpTech team member with project access signs an IP-assignment agreement assigning their contributions back through LegelpTech to the client.
- •LegelpTech-retained: Pre-existing tools, frameworks, libraries, methodologies, and know-how owned by LegelpTech prior to the engagement remain with LegelpTech, with a perpetual non-exclusive license to the client for use within the deliverables.

Invoicing entity
Invoices are issued by LegelpTech Outsourcing Private Limited under GSTIN 07AAGCL2485F1ZG.
Export of services
Services rendered to non-Indian clients qualify as export of services under GST law and are zero-rated, subject to applicable conditions and documentation (LUT / IGST refund route).
Tax forms
Form 10F, No-PE declaration, and Tax Residency Certificate (TRC) are provided on request for clients withholding tax under DTAA provisions.
